Souti User Service Agreement

This is an agreement between Souti and Souti Clients, the owners and operators of the Site and Content, and you, the user of the Services.Souti will not tolerate objectionable content or abusive users. If you do not agree to any of these terms, you may not use the Services.

Souti may modify this Agreement from time to time, and such modifications shall be effective as of the date they are posted on the official Souti website. By using the Services provided by Souti after the posting of any such modifications, you agree to be bound by any modifications to this Agreement. Therefore, it is important to review this Agreement periodically to ensure that you are aware of any modifications, and Souti reserves the right, in its sole discretion, to reject, refuse to post, or to remove any of your postings (including private messages), or to restrict, suspend, or terminate your access to all or part of the Souti Services at any time, with or without cause, without prior notice, and without any liability whatsoever!

Souti Services

These Terms of Service apply to all users of Souti's services.The status information provided by Souti may contain links to third-party websites that are not owned or controlled by Souti. Souti has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. In addition, Souti does not and cannot review or edit the content of any third party site. By using the Service, you expressly acknowledge and agree that Souti shall not be liable for any damages, claims or other liabilities arising out of or in connection with your use of any third party website.

Souti visit

1. Subject to your compliance with these Terms of Service, Souti hereby grants you permission to use the Services, provided that:

Your use of the Services is for personal, non-commercial use only;
You will not reproduce, transfer, grant access to, copy, or distribute any portion of the Services in any media without Souti's prior written authorization;
You will not attempt to reverse engineer, alter or modify;
You will comply with the terms and conditions of these Terms of Service.

2. In order to access and use the features of the Services, you acknowledge and agree that you must provide Souti with your telephone number and the telephone numbers of third parties with whom you wish to use the Services. When providing your telephone number, you must provide accurate and complete information. You hereby expressly consent to Souti's use of the telephone number you provide to provide you with access to and use of the Services. You may not use another person's phone number without that person's permission. You are solely responsible for the status messages displayed on your phone number. You must notify Souti immediately of any breach of security or unauthorized use of your phone, and while Souti will not be liable for losses resulting from unauthorized use of your account, you may be liable to Souti or others for losses resulting from such unauthorized use.

Intellectual property rights (law)

The design of the Souti Services and all graphics (including stickers), text, scripts, interactive features, etc., associated with the Souti Services (collectively, the "Souti Client and Content"), except for all User Status Submissions (as defined below), and the trademarks, service marks, and logos contained therein ("Trademarks") are owned or licensed by Souti and are subject to copyright and other intellectual property rights under foreign laws and international conventions.Subject to the TOS, you are granted a personal, non-exclusive, non-transferable, revocable, limited license to install and use the Souti Client and the Content solely in connection with the Services, for personal and non-commercial purposes only. The Services (including the Souti Client and Content) are provided to you on an "as is" basis for your information and personal, non-commercial use only. Souti reserves all rights not expressly granted in the Services, Souti Clients and Content. You agree not to participate in the use, copying, distribution, or other exploitation of any Souti Client and Content except as expressly permitted herein, including the use, copying, or distribution of third-party User Status Submissions obtained through the Services for any commercial purpose.You also agree not to use the Souti Client and the Content in a manner that infringes or violates the rights of any third party, and we will not be liable to you for any such use.

User Status Submission

1. The Souti Services allow you and other users to submit status text and other communications ("User Status Submissions") and to host, share and/or publish such User Status Submissions. As described in the following section, you retain ownership of User Status Submissions. You understand that Souti does not guarantee the confidentiality of any User Status Submission, whether or not such User Status Submission is posted.

2. You are solely responsible for the content of your own User Status Submissions and the consequences of posting or publishing them. Because Souti acts solely as a data repository, User Status Submissions do not necessarily represent the views or opinions of Souti, and Souti does not guarantee the validity, accuracy, or legal status of any Status. With respect to the content of User Status Submissions, you acknowledge, represent and/or warrant that:

You own or have the necessary licenses, rights, consents and permissions to use and authorize Souti to use all patents, trademarks, trade secrets, copyrights or other proprietary rights in all User Status Submissions in order to enable Souti to incorporate and use the User Status Submissions in the manner contemplated by the Service and these Terms of Service;
You have obtained the written consent, authorization and/or license from each identifiable individual in a User Status Submission to use the name or likeness of each such identifiable individual for the purpose of incorporating and using the User Status Submission in the manner described in the Service and these Terms of Service. To be clear: You retain all of your ownership rights to User Status Submissions, but you must first own those rights. However, by submitting User Status Submissions to Souti, you hereby grant Souti a worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Status Submissions in connection with the Souti Services and Souti's (and its successor's) business, including, without limitation, to promote and re-distribute some or all of the Souti Services (and derivative works thereof) in any media format and promote and redistribute some or all of the Souti Services (and derivative works thereof) through any media channels. You also hereby grant each subscriber to your status on the Souti Services a non-exclusive license to access your User Status Submissions via the Services, email and cell phone and to display portions of the User Status Submissions in accordance with the functionality of the Services and these Terms of Service. The above license granted by you terminates once you remove or delete User Status Submissions from the Souti Services.

3. With respect to User Status Submissions, you further agree that you will not:

Submit material that is copyrighted, protected by trade secret, or otherwise subject to the proprietary rights of third parties, including rights of privacy and publicity, unless you are the owner of such rights or have received permission from the rightful owner thereof to post the material and grant Souti all of the licenses granted herein;
Post falsehoods or misrepresentations that might damage Souti or any third party;
Submit material that is unlawful, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
Post advertisements or solicitations for business;
Impersonate another person;
Send or store material that contains software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs;
Interfering with or disrupting the integrity or performance of the Services or the data contained therein;
Attempting to gain unauthorized access to the Services or their associated systems or networks.

4. Adult Content must be identified as such. Souti does not endorse any User Status Submission or any opinion, recommendation or advice expressed therein, and Souti expressly disclaims any and all liability with respect to User Status Submissions. Souti does not permit copyright infringing and intellectual property rights infringing activities to take place through its services, and will remove all Content and User Status Submissions if it receives proper notification that such Content or User Status Submission infringes on the intellectual property rights of others. If Souti receives proper notification that such Content or User Status Submission infringes on the intellectual property rights of others, Souti will remove all Content and User Status Submissions, and Souti reserves the right to remove Content and User Status Submissions without prior notice. Souti may also terminate a User's access to its Services if the User is determined to be a repeat infringer, or for any reason or no reason (including annoyance). A repeat infringer is a User who has been notified multiple times of infringing activity and/or whose User Status Submissions have been removed from the Site more than twice. An Obnoxious Person is a person who has been determined by an authorized Souti employee, agent, sub-agent, or super-agent, whether intentionally or not, to be an Obnoxious Person Souti also reserves the right to determine the appropriateness of a Content or User Status Submission and its compliance with the TOS for violations of the TOS other than copyright infringement and violations of intellectual property laws, such as (but not limited to) excessive length or limited interest. Souti may remove such User Status Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time in its sole discretion and without prior notice.

5. You understand that in using the Souti Services, you will be exposed to User Submissions from a variety of sources and that Souti is not responsible for the accuracy, usefulness, safety or intellectual property rights of such User Submissions and that such User Submissions are not the responsibility of Souti. You further understand and acknowledge that you may be exposed to User Status Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive and hereby do waive any legal or equitable rights or remedies you have or may have against Souti and agree to indemnify and hold harmless Souti, its owners/operators, affiliates and/or licensors, to the fullest extent permitted by law, from and against all claims and demands for damages in connection with your use of the Site. /or licensors to indemnify and hold them harmless.

6. Souti permits you to link to materials on the Service solely for your personal, non-commercial use. Commercial versions are available under separate licenses and terms, and Souti reserves the right to discontinue any aspect of the Souti Services at any time.

7. Depending on the local policy, we will charge a tax ranging from 10-15% on your diamond revenue. You agree to use the souti services at your own risk. to the fullest extent permitted by law, souti, its officers, directors, employees and agents disclaim all warranties, express or implied, with respect to the service and your use of the service. Souti makes no warranties or representations as to the accuracy or completeness of the content of the Service and assumes no responsibility or liability for any of the following:

Errors, mistakes or inaccuracies in the content;
Personal injury or property damage of any nature whatsoever resulting from access to and use of our services;
Unauthorized access or use of our servers and/or any and all personal and/or financial information stored therein;
Interrupt or terminate transmissions to and from our Services;
Any errors, viruses, Trojan horses or information transmitted to or through our Services through the actions of any third party;
Any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed, transmitted or otherwise made available via the Souti Services.

Souti does not warrant, support or guarantee, and is not responsible for, any products or services advertised or offered by any third party through the Souti Services or any hyperlinked web site, or recommended in any user status submission or other advertisement, and Souti will not be a party to, and will not be in any way responsible for monitoring, any transactions between you and third party providers of products or services. Souti will not be a party to monitor any transactions between you and third party providers of products or services and will not be responsible in any way for monitoring such transactions. As with the purchase of products or services through any medium or in any environment, you should use your best judgment and exercise caution where appropriate. Again, this is just for fun.

Limitation of liability

In no event will souti be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, arising out of your use of the services, even if souti has been advised of the possibility of such damages. Notwithstanding anything to the contrary in this Agreement, Souti's liability to you, regardless of cause and regardless of the form of conduct, shall at all times be limited to the amount, if any, paid by you to Souti for the Services provided by Souti during the period of time you are a User. souti shall not be liable for any damages or losses caused by your or a third party's acts or omissions, including, without limitation, tort, such as any third party payment service or internet access service.

Reparation

You agree to indemnify and hold Souti, its subsidiaries and affiliates, and their respective officers, agents, partners and employees, harmless from any loss or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the services provided by Souti in violation of this Agreement and/or your breach of this Agreement and/or your breach of the representations and warranties set forth above and/or any content posted by you on Souti's website or through the services provided by Souti. any third party loss, liability, claim or demand, including reasonable attorneys' fees, resulting from or arising out of Souti's liability to others.

Refund policy

We comply with the refund policies of the app stores and payment channels on which our products are listed.
If a user makes a refund, we will confirm the balance of virtual assets in the refunded account, if the virtual assets corresponding to the refunded order have not been consumed, the refund can be made, if they have been consumed, the refunded order will be considered fraudulent and we will initiate a complaint, the final result will be decided by the bank and the payment channel.
All fees paid by you are for the services we provide to you based on your request, and the final result of the success, failure, or rejection of the request is attributed to [bank or payment channel].
Fees paid are not refundable in whole or in part under any circumstances. With the exception of certain circumstances that we deem appropriate, while reserving the right not to apply these fees to you.

Exceptions:

In certain circumstances we may refund all or part of the Fees but reserve the right not to charge you for these Fees without notice or explanation.

4.1 Pay more than the amount required for the Services.
4.2 Pay double the amount required.
4.3 Services not completed or processed.
4.4 Services that have been canceled or refused.

Generic

You agree that:

The Souti Service shall be considered a passive server and shall not give rise to any specific or general personal jurisdiction over Souti in jurisdictions other than the People's Republic of China;
You agree to submit to the jurisdiction of the People's Republic of China in the event of any legal dispute. Any claim or dispute between you and Souti arising in whole or in part from the Souti Service shall be decided exclusively by a court of competent jurisdiction in the People's Republic of China.The privacy and any other legal notices posted by Souti shall constitute the entire agreement between you and Souti with respect to the Souti Service. If any provision of these Terms of Service is held invalid by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any provision of these Terms of Service shall be deemed a further or continuing waiver of that or any other provision, and Souti's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.Souti reserves the right to revise or amend these Terms of Service at any time, and it is your responsibility to review these Terms of Service for any changes. Your use of the Souti Services following a revision to this TOS constitutes your agreement and acceptance of the revised terms. You and Souti agree that any cause of action arising out of or related to the Souti Services must be commenced within one (1) year after the cause of action arises. Otherwise, the cause of action is permanently barred.

Copyright policy

You may not publish, modify, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information belonging to others without the prior written consent of the owner of such proprietary rights. It is Souti's policy that if you repeatedly infringe the copyrights of others after receiving proper notification from the copyright owner or the copyright owner's legal agent, your user status will be terminated. If you believe that your work has been copied and posted on the Souti Services in a way that constitutes copyright infringement, you may contact us via the app site route and prepare the following:

An electronic or physical signature of an authorized person acting on behalf of the owner of the copyright interest;
A description of the copyrighted work that you claim has been infringed;
A description of where the material that you claim is infringing is located on the Services provided by Souti;
Your address, phone number and e-mail address;
A written statement from you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
